1. Introduction

1.1 Background And Purpose

These terms and conditions apply to all sales and deliveries provided by DTN E-commerce Solutions (“DTN”) to the customer. By placing an order with DTN, you agree to these terms.

1.2 Orders

A specific delivery is contained in each individual order, which is subject to these terms and conditions. The order will include:

  • A detailed description of the services to be provided.

  • Service prerequisites and customer participation requirements.

  • Project timeline and pricing details.

1.3 Types Of Services And Pricing

  • Consulting Services: Includes expert consultation and technical assistance, such as programming tasks. Prices exclude VAT and are adjusted annually. Customers will be notified of any changes with a minimum of 3 months’ notice.

1.4 Shared Risk

If the project is not completed within the estimated timeframe as defined in the project description, the rate may be decreased upon mutual agreement.

1.5 Invoicing And Payment

  • Consulting services are invoiced monthly based on the time spent, as agreed.

  • Payments are due within 30 days of the invoice date. Late payments incur a 1.5% interest charge per month.


2. General

2.1 Liability And Limitations Of Liability

  • DTN is responsible for delivering the services specified in the order within the agreed timelines.

  • DTN’s liability is limited to the services provided under the specific order and excludes responsibility for data loss, lost profits, or indirect incident losses.

  • DTN’s liability for third-party licenses is limited to the terms provided by the third-party provider.

2.2 General Guarantees

DTN guarantees that services will be delivered professionally and in line with good industry practices.

2.3 Customer Acceptance

  • Customers must approve the delivery of services within 10 days of completion or provide written details of defects.

  • Failure to respond within the timeframe implies acceptance.

2.4 Defects And Complaints

  • Complaints must be submitted in writing within 3 months of delivery for resolution.

  • DTN will repair or refund as necessary for legitimate complaints.

2.5 Confidentiality And Personal Data (GDPR)

  • DTN ensures that customer data is handled securely and in compliance with GDPR.

  • Necessary measures are implemented to prevent unauthorized access, destruction, or loss of data.

  • Data breaches will be promptly communicated to the customer.

2.6 Non-Compliance And Misuse

  • Orders can be canceled if a party significantly breaches their obligations and fails to rectify the issue within 14 days.

  • DTN reserves the right to suspend services or demand payment for overdue accounts.

2.7 Termination And Expiry

  • Either party may terminate the agreement with 3 months’ notice, effective at the end of a calendar month.

  • Upon termination, the customer is responsible for extracting their data.

2.8 Governing Law And Disputes

This agreement is governed by the laws of Vietnam. Disputes shall be settled through negotiation, and unresolved disputes may be referred to the courts.
